To protect the rights and privacy of all parties, and ensure everyone enjoys the full benefits of EIQA, we ask that you abide by our Terms and Conditions of Use. By using the EIQA website, you acknowledge that you have read, understood and accepted these Terms and Conditions of Use.

As a user, you are also bound by the EIQA Privacy Statement, the EIQA Copyright and Trade Mark Notice and any other terms contained on this website.

General

If any of these Terms & Conditions are invalid or unenforceable, it will be struck out and the remaining terms and conditions will remain in force.

If we do not act in relation to a breach by you of these Terms & Conditions, this does not waive our right to act with respect to that or subsequent or similar breaches.

Breach of Terms and Conditions of Use

If you breach any of the Terms and Conditions of Use, we may suspend, terminate or limit your access to EIQA. If we choose not to do this, it does not mean we waive our right to act with respect to future or similar breaches.

We sincerely hope this does not occur and that you continue to receive the full benefit of the services offered by EIQA.

Disputes

Prior to resorting to any external dispute resolution process, you and we agree to use best endeavours to use mediation and negotiation to resolve any dispute arising out of or relating to these Terms and Conditions (including any breach or termination of your Directory Listing). Please notify us of any dispute you may have by Contacting Us .

Your obligation

We ask that you use EIQA in a responsible manner. If you are under 18 years of age, you need to obtain a parent/guardian’s consent prior to using the site.

There are several activities that could cause great distress to others, and we ask that you refrain from them. Please don’t:

  • Use, post, or transmit to or via, EIQA any information or materials that breach any laws or regulations, infringe upon a third party’s rights, or are contrary to any relevant standards or codes;
  • Use EIQA in a way, or post to, or transmit to or via EIQA, any material that interferes with other users or defames, harasses, threatens, menaces, offends or restricts any person, or inhibits any other user from using or enjoying EIQA;
  • Use EIQA to send unsolicited and unwanted electronic mail messages (spam) to anyone or make any fraudulent or speculative enquiries, bookings, reservations or requests using EIQA;
  • Use another’s name, username or password without permission;
  • Post, or transmit to or via EIQA, any obscene, indecent, inflammatory or pornographic material, or material that could give rise to civil or criminal proceedings;
  • Tamper with, hinder the operation of, or make unauthorised modifications to EIQA; and
  • Knowingly transmit any virus or other disabling feature to EIQA.

In accessing and using the member area, you must not:

  • tamper or interfere with or hinder the technical managerial or administrative operations of or make unauthorised modifications to the EIQA website generally;
  • seek to probe, scan or test the vulnerability of the EIQA system or network;
  • breach any security or authentication measures for the EIQA system or network;
  • attempt to gain access to or use of any other member Listing; and
  • knowingly transmit any virus or other disabling feature to EIQA website.

Please do not attempt, or permit another person to perform any of the above acts.

Your Warranties and Consent

You warrant and represent that:

  • all details and information in your member Listing provided by you are true and accurate and are not false misleading or deceptive;
  • you will keep secure the Security Access Password and only permit authorised persons access to and use of that Security Access Password; and
  • you will keep the information contained in your member Listing accurate and up to date and compliant with these Terms and Conditions.

Use of your information and material

You may send us feedback, suggestions, ideas or other materials by Contacting Us. We may, at our discretion, use, reproduce, publish, modify, adapt and transmit them to others free of charge and without restriction. In using EIQA, you implicitly provide your permission for this to occur.

Naturally, this use will be subject to our obligations outlined in the EIQA Privacy Statement.

Security of information

Unfortunately, no data transmission over the Internet can be guaranteed as totally secure. Whilst we strive to protect such information, we do not warrant and cannot ensure the security of any information which you transmit to us. Accordingly, any information which you transmit to us is transmitted at your own risk. Nevertheless, once we receive your transmission, we will take reasonable steps to preserve the security of such information.

Changes to content and these Terms and Conditions of Use

All prices displayed, and products and services offered on EIQA, can be changed without notice.

Likewise, we can also vary the Terms and Conditions of Use at any time. However, if changes are needed, we will let registered users know by email to the address they have supplied. If you are not a registered user, you will receive notice of these changes via the homepage of EIQA. If you continue to use EIQA after the Terms and Conditions of Use have changed, this means you have accepted the Terms and Conditions of use as amended.

Our Reserved Rights

In addition to our reserved rights to reject, refuse and remove your member Listing for any reason and at any time, we also reserve the rights to, at any and all times and without notice to you:

  • monitor your Directory Listing to ensure that you are complying with these Terms and Conditions; and
  • record the outcomes of our monitoring activities, without any obligation to disclose or report the outcomes of our monitoring activities to you.

Charges

EIQA member listings are currently provided free of charge as part of the overall EIQA Membership fees.

We reserve the right to introduce and, once introduced, to change, charges for member listings, from time to time. If we do so, we will notify you at the address contained in your member Listing or at the contact address provided by you, within a reasonable time before the introduction or change takes effect.

If you do not agree with the introduced or changed listing charges, you are required to immediately remove (if you have a Security Access Password) or otherwise notify us by Contacting Us to remove your member Listing before the listing charges take effect.

If you do not pay the listing charges within 30 days of such charges coming into effect or being due and payable, we reserve the right to remove immediately and without any further notice to your member Listing from the members area.

Third party content

Some of the products and services offered for sale, or advertised on EIQA, and much of the information provided on EIQA, does not belong to Irish Quality Association trading as EIQA

It is important all users understand that third party products, services and information are not provided or endorsed by us and your legal relationship is with the third party supplier.

Please be aware that we have not necessarily checked third party information for accuracy or completeness and have not tested the suitability or quality of the products and services. We do not make any warranty or representation that the information provided is reliable, accurate or complete or that your access to that information will be uninterrupted, timely or secure. We recommend you conduct your own investigations directly with the relevant third party before relying on their information or entering into a transaction via EIQA. You should also check with the third party supplier whether there are additional charges and terms that may apply.

EIQA website may contain links to other websites (“linked websites”). Those links are provided for convenience only and may not remain current or be maintained.

Similar to other third party content on EIQA, we are not responsible for the content or privacy practices associated with linked websites.

Our links with linked websites should not be construed as an endorsement, approval or recommendation by us of the owners or operators of those linked websites, or of any information, graphics, materials, products or services referred to or contained on those linked websites, unless and to the extent stipulated to the contrary.

EIQA will however attempt, as a matter of best practice, to get all third parties and linked websites to adhere to our website privacy statement and terms and conditions of use.

Advertising

Responsibility for the content of advertising appearing on EIQA rests solely with the advertisers. The placement of such advertisements does not constitute a recommendation or endorsement by us of the advertiser’s products and each advertiser is solely responsible for any representations made in connection with its advertisement.

Fees and taxes

We and our service providers may receive fees and/or commissions from third parties for goods and services that are displayed or made available through EIQA, or those that are hyperlinked from EIQA. If you choose to access EIQA or make use of those goods or services, this means you acknowledge these fees and consent to us and our service providers receiving them.

If you purchase a good or service from us through EIQA, you may be required to pay VAT or Goods and Services Tax (based on the prevailing rate), in addition to the cost of the good or service. If this occurs, we will inform you of the total amount through an invoice or by other means. You are legally obliged to pay this amount.

Access

If there is a prolonged period of inactivity between your browser and the EIQA servers, you may be disconnected or we may ask you to resubmit a security password. We are not responsible for any information you may lose should a disconnection occur.

There may be other occasions when we will ask you to resubmit a password for security purposes.

Indemnity

You indemnify us and our officers, employees, agents and related bodies corporate from, and against, all actions, claims, suits, demands, damages, liabilities, costs or expenses arising out of, or in any way connected to, the use of EIQA by you or someone using your name and password.

Disclaimer and limitation of liability

To the extent permitted by law, neither we, nor any of our officers, employees, agents or related bodies corporate will be liable in any way (including for negligence) for any loss, damage, costs or expenses suffered by you, or claims made against you, through the use of EIQA, including a messaging or information service, or in connection with any products, services or information supplied, offered to be supplied or advertised on EIQA.

To the extent permitted by law, all warranties, conditions and representations about EIQA, the availability of EIQA for access and use; the products and services advertised, offered to be supplied or supplied via EIQA; and the information provided on EIQA, are excluded. If a term is implied by law into these Terms and Conditions of Use and the law prohibits provisions in a contract excluding or modifying liability under that term, then it will be included in these Terms and Conditions of Use. However, our liability for breach of such term will be limited, at our option, to one or more of the following:

  • in relation to products or services hereafter referred to as goods:
  • the replacement of the goods or the supply of equivalent goods;
  • the repair of such goods;
  • the payment of the cost of replacing the goods or acquiring equivalent goods; or
  • payment of the cost of having the goods repaired; and/or
  • in relation to services:
  • the supply of the services again; or
  • the payment of the cost of having the services supplied again.

It’s the law

This agreement is governed by the law in force in the Republic of Ireland. We and You, and other associated parties, irrevocably submit to the non-exclusive jurisdiction of the courts of Ireland and courts of appeal from them for determining any dispute concerning this agreement.

If any of these Terms and Conditions of Use are invalid or unenforceable, it will be struck out and the remaining terms will remain in force.

Specific disclaimers

Security Access Password

If you wish to directly make changes to any information contained in your Listing, you first need to obtain a security access password from us. Your Security Access Password is obtained via the "membership" area.

You must keep secure the Security Access Password and ensure that only persons authorised by you have access to and use of the Security Access Password for the purpose only for which it was provided to you.

Promotions

From time to time, we may undertake promotions and make special offers. All Promotions are offered subject to their own terms and conditions and may be withdrawn or altered at our discretion. The terms and conditions of a Promotion will override these Terms and Conditions to the extent of any inconsistency.

Warning

You acknowledge that we cannot control who will view a member Listing. For safety and security, you are encouraged to take measures and precautions against providing personal information in your member Listing that could place you or your staff or members in danger (whether real, threatened or potential).

Indemnity by You

You indemnify us from and against all losses, damages, liabilities or costs directly or indirectly suffered or incurred by us (including as a result of a claim by a third party) due to or arising out of or in any way connected to:

  • any breach of these Terms and Conditions (including warranties) by you; or
  • your use or misuse of the Directory or the Security Access Password issued to you.

Suspension and Termination

We may suspend your member Listing immediately at any time without liability to you if you breach these Terms and Conditions (or we reasonably suspect you have breached these Terms and Conditions) or if suspension is required for technical reasons.

If we become aware of or suspect or you notify us that the Security Access Password has become unsecured or unauthorised persons have gained access to that password, we will suspend your Security Access Password immediately without liability to you and, at our option, subject to receiving appropriate verification and authentication documentation from you, provide you with another Security Access Password.

We may terminate and remove your member Listing, immediately at any time and without notice to you, if:

  • you breach any of these Terms and Conditions including any warranties given by you;
  • you or any person misuses the members area;
  • there are reasonable grounds to suspect that any information provided by
  • you in your member Listing is false, misleading, deceptive, incomplete or incorrect;
  • you have engaged in any conduct or practice that comes to our attention that is detrimental or harmful to our good name, reputation or interests;
  • we receive a notification or direction from the Ireland’s Broadcasting Authority or other legal body regarding your member Listing; or
  • you enter into insolvency administration.

You may at any time and for any reason remove your member Listing from the member listing by either:

  • removing your member listing yourself if you have a Security Access Password; or
  • notify us by Contacting Us so that we may remove your member Listing.
